1. Acceptance of Terms & Conditions
By engaging with Quality First Consultancy, you agree to be bound by these Terms & Conditions. Acceptance may be made in any one of the following ways:
By signing and returning a copy of the Fee Proposal;
By performing an act that demonstrates your intention to adopt or accept these Terms & Conditions, including but not limited to instructing us to commence the Services; or
By oral acceptance.
By accepting these Terms & Conditions, you warrant that you have the authority to bind yourself or the organisation you represent to these Terms & Conditions.
These Terms & Conditions apply to:
You and any organisation or person that purchases or acquires you; and
Quality First Consultancy and any organisation or person that purchases or acquires Quality First Consultancy.
2. Fee Proposal
(a) You agree to pay the fees for the Services as set out in the Fee Proposal.
(b) The Fee Proposal is typically valid for the period of Certification up to the expiry date of the Certificate issued. This includes:
(i) The commencement of each year beyond the first year of the Certification period; or
(ii) A date specified by us prior to the provision of the Services for all or a particular Certification, if directed by us.
3. Ongoing Contract
The term of this Agreement commences on the Accepted Date by the client and continues in full force until terminated by either party. Termination requires 60 days’ written notice. Early termination of certification does not entitle you to a refund.
4. Additional Charges
Additional charges may apply in relation to the Services. These charges may include, but are not limited to:
(a) Requests for additional work or variations to the Services.
(b) Changes to your requirements from those originally submitted.
(c) Delays in providing information or material required for the Services.
(d) Changes in your organisation’s size, number of locations, or scope of operations or
(e) Substantial changes or reductions to the scope of Certification.
In such cases, a new online quotation will be generated by your account manager. This new quotation must be accepted online before the Certification process can proceed.
5. Billing
Our billing system depends on the type of Services provided. For new services, we may require payment prior to the provision of the Services. We may invoice you before or as soon as reasonably practicable after the provision of the Services (or any part of the Services). Payment must be made in accordance with the payment method and due date specified in each tax invoice. We reserve the right not to proceed with the Services unless payment is received by the due date.
6. Sub-contractors
You acknowledge and agree that we may use contractors or sub-contractors to deliver the Services.
7. Certification Body
You may choose a certification body that is either Accredited or non-accredited.
8. Use of Certification Marks
You agree to use any certification marks provided in accordance with the terms and conditions set by the certification body. Misuse of the certificate may result in termination of the certification.
9. Complaints & Disputes
Any complaints or disputes must be reported to info@qualityfirst.net.au. We will endeavour to resolve any issues promptly and fairly.
10. Termination of Certification
We reserve the right to terminate your certification if:
You breach these Terms & Conditions;
You misuse the certification marks; or
There is a failure to pay fees or additional charges as required.
Termination of certification does not entitle you to a refund of any fees paid.
11. Governing Law
These Terms & Conditions are governed by the laws of the jurisdiction in which Quality First Consultancy operates.
